Please read these terms and conditions carefully before using our services.

1. Overview

These Terms of Service ("Terms") govern your access to and use of Siebly.io, the Siebly-branded software development kits ("SDKs"), related documentation, example projects, and any support channels operated by Siebly ("Siebly", "we", "us"). By using the Services you agree to these Terms and any exchange-specific terms that apply to the API you connect to.

If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation. Users must be at least 18 years old and able to enter a legally binding contract.

2. Definitions

  • "Siebly", "we", "us" means Siebly.io.
  • Services means the Siebly.io website, SDK packages, example code, documentation, and any related support or advisory services.
  • Exchange means the third-party cryptocurrency platforms whose APIs our SDKs interface with (e.g., Binance, Bybit, OKX).
  • Client Applications are the systems you build that consume the SDKs or rely on documentation from Siebly.

3. Nature of the Services

  • Siebly distributes software. We do not operate an exchange, brokerage, or custodial service, and we never hold client money, private keys, or trading credentials. You run the SDKs within your own infrastructure and connect directly to the exchanges you configure.
  • The SDKs are open source (typically MIT licence). You may use, modify, and redistribute them in accordance with the applicable licence, but you do so entirely at your own risk without warranties of any kind.
  • Siebly may participate in exchange rebate, affiliate, or API broker programmes. Any rebates or fee sharing are administered by the partner exchange under its own terms; they do not create a fiduciary, agency, or custodial relationship between you and Siebly.
  • The core SDKs are free. Using them does not add fees on top of the trading costs you already pay to exchanges. Optional commercial services (support retainers, bespoke development, audits) are governed by separate written agreements.

4. Relationship to Open Source Licences

Each SDK is released under its own open-source licence (normally MIT). Those licence terms continue to govern your use, modification, and redistribution of the SDK code. These Terms apply to your use of the Services as a whole, including guidance, branding, documentation, and any commercial support you may purchase.

Where these Terms conflict with an open-source licence, the open-source licence takes precedence for the specific package, and these Terms govern everything else.

5. Acceptable Use

  • You are responsible for complying with all applicable laws, exchange account terms, licensing requirements, sanctions programs, and tax obligations in every jurisdiction where you operate.
  • Do not use the Services for any unlawful, deceptive, exploitative, or malicious purpose, including market manipulation, unauthorised data scraping, or violating exchange rate limits.
  • You must not probe, scan, or test the vulnerability of any Siebly infrastructure, nor attempt to bypass security measures or access accounts you do not own.
  • You must not misrepresent the source of the SDKs or imply that Siebly endorses or certifies your Client Application without prior written permission.
  • You will not use the Services in violation of applicable export control, trade, or sanctions laws of the UK, EU, or US.

6. API Keys, Security, and Privacy

Siebly never stores or transmits your exchange API keys. You are solely responsible for safeguarding credentials, enforcing least-privilege policies, rotating keys, and securing your infrastructure. If you suspect a breach, you must notify the relevant exchange immediately and inform Siebly if the Services contributed to the incident.

Our Privacy Notice describes how we handle any personal data processed through Siebly.io or customer support channels. You are responsible for providing privacy notices to your own end-users and obtaining any consents required under applicable law.

Data roles: For the website and support interactions, Siebly acts as an independent controller of personal data. If we provide paid services that process your end-user personal data on your documented instructions, we act as a processor and separate written processing terms would be agreed directly with that customer.

7. Third-Party Services & Market Risk

The SDKs depend on third-party exchanges, data feeds, and internet infrastructure that Siebly does not control. Outages, rate-limit changes, deprecations, and API errors are outside our control. You are responsible for monitoring exchange announcements and adjusting configurations accordingly.

Trading digital assets carries significant risk, including permanent loss of capital. Siebly does not operate an exchange, hold client funds, or provide investment, tax, or legal advice. All trading decisions rest solely with you. Always test integrations in non-production environments before executing live strategies.

8. Support and Commercial Services

The core SDKs are provided free of charge. Optional commercial services, such as support retainers, integration fees, integration reviews, or bespoke development, will be subject to a separate written agreement outlining scope, fees, and service levels. Unless expressly stated, Siebly provides the Services on a best-effort basis with no guaranteed uptime.

9. Intellectual Property

Siebly retains all rights, title, and interest in the Siebly.io website, branding, documentation, and proprietary assets. You may accurately reference the SDKs, for example, linking to repositories or acknowledging that your integration uses a Siebly SDK, provided you do not misrepresent the nature of the relationship.

Use of Siebly logos, trademarks, or statements implying sponsorship, certification, partnership, or endorsement requires prior written consent or a separate partner agreement. Exchanges interested in co-marketing or including Siebly in official documentation can contact partnerships@siebly.io to obtain brand assets and guidelines.

All third-party trademarks (including but not limited to names such as Binance, Bybit, OKX, Gate, Bitget, and others referenced in the Services) are the property of their respective owners. Their appearance is solely for identification and does not imply sponsorship or endorsement unless expressly stated in a separate agreement.

10. Disclaimers

  • The Services are provided “as is” and “as available.”
  • Siebly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy or completeness of data, non-infringement, quiet enjoyment, or uninterrupted availability. We do not warrant that the Services will be error-free, secure, or that defects will be corrected.
  • Siebly is not a broker, dealer, futures commission merchant, investment adviser, or fiduciary. Nothing in the Services constitutes financial, trading, legal, or tax advice, and no communication from Siebly should be relied upon for trading decisions.
  • Market data, API responses, and exchange behaviour originate from third parties that we do not control. We do not guarantee their availability, accuracy, or timeliness. You must validate outputs before relying on them.
  • You bear all responsibility for evaluating the suitability of the SDKs, monitoring changes to the exchanges you connect to, and implementing safeguards to mitigate trading, operational, and compliance risks.

11. Limitation of Liability

To the maximum extent permitted by law, Siebly, its contributors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or other intangible losses, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited by law.

Subject to the foregoing, Siebly's aggregate liability arising out of or in connection with the Services in any 12-month period is the greater of (i) the amounts you paid to Siebly for the specific paid Service giving rise to the claim in that period and (ii) £10,000. The exclusions in the first paragraph of §11 apply in all cases.

12. Indemnification

You will defend, indemnify, and hold harmless Siebly, its maintainers, contributors, officers, employees, and agents from and against any claim, demand, action, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of or relating to: (a) your Client Applications; (b) your breach of these Terms or of an applicable exchange agreement; (c) your violation of law or third-party rights; or (d) any trading decision, execution, or order flow initiated through your use of the Services, including losses resulting from software bugs, outages, failed orders, misconfigurations, or trading strategies you design.

Siebly reserves the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification. If we do, you agree to cooperate with our defence of that claim.

12B. General

  • Force Majeure: Neither party is liable for delay or failure caused by events beyond its reasonable control. Payment obligations are not excused.
  • Severability: If any provision is held invalid, the remainder stays in effect.
  • No Waiver: A failure or delay to enforce a right is not a waiver.
  • Assignment: You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices: We may give notices by email to the address you provide and by posting on Siebly.io; you will send legal notices to legal@siebly.io.
  • Survival: Sections 2, 5-12B, 15 survive termination.

13. Changes to the Services or Terms

We may update these Terms by posting a revised version with immediate effect. For material changes we will provide notice via the site or email. Continued use after the effective date constitutes acceptance.

14. Termination

You may stop using the Services at any time. Siebly may suspend or terminate access to the Services or repositories if you materially breach these Terms, abuse the Services, or create risk to other users or exchanges. Upon termination you must cease using Siebly branding and destroy any confidential materials obtained through support engagements.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to the Services. Before commencing litigation, both parties agree to make a good-faith effort to resolve the matter amicably.
